The Convocation of an Extraordinary General Assembly

We, the undersigned members of the Bringing Europeans Together Association (BETA e.V.), express our will for the convocation of an Extraordinary General Assembly as stipulated in § 11.2 of our Statutes. This shall take place to recall into consideration the election of Mr Emmanouil Koulas following the revelations of his prior actions. These include incidents involving allegations of racist and sexist speech targeted at female Greek Member of Parliament and former Minister, which resulted in Mr Koulas resigning from his political party duties.
To reduce burden on travel expenditure, we suggest the Extraordinary General Assembly takes place alongside the already planned Preparatory Meeting of MEU Strasbourg, subject to the acceptance by the relevant parties.
Why is this important?
The election of the prospective Vice President has caused discomfort amongst members and has cast doubt upon BETA's ability to effectively engage with partners and stakeholders.
Convocation of an Extraordinary General Assembly will allow BETA members to discuss and take action upon these developments. This will also provide an opportunity to continue the dialogue from the 24th June General Assembly which was cut short due to time constraints, putting in danger the current projects of BETA e.V.
Whereas:
Section 4 (8) BETA Statutes states that the “Management Board may exclude members from the association where they have been found to have violated the aims or the interests of the association” with immediate effect while the “General Assembly will take the final decision.”
The General Assembly is the supreme deliberative body of an association under Civil law, thus retaining exclusive competence on all matters not foreseen in the Statutes or the Law - this includes to adopt resolutions on the exclusion of members on the grounds of damaging or being contrary to the interests and values of the Association;
Section 27 (2), BGB, German Civil Code, states that "The appointment [of the Board] is revocable at any time (...). The revocability may be restricted by the articles of association to the case where there is a compelling reason for the revocation; such a reason includes without limitation a gross breach of duty or inability to effect proper management."
We, the undersigned members of BETA e.V., submit the request for a extraordinary GA with the agenda
- to discuss and vote on the recall of Vice President elect Emmanouil Koulas
- to hold a new election of Vice President
- to discuss and vote on the transfer of MEU Strasbourg and the corresponding amendments
